The following are the terms and conditions for Vendor and Booth Rental:
1. Vending Applications Approval and Rejection and Cancellation Applications must be received on or before July 16, 2021. We reserve the right to decline any application we do not deem fit. Upon approval, the vendor agrees to abide by all rules and regulations set forth by MC Circle Productions LLC and the Ratchet City Music Fest Committee and are to abide by each statute. Vendor payments are non-refundable. We reserve. the right to accept, reject or modify the contract and will inform in writing of any changes.
2. Fee Schedule: Fee includes up to one additional free booth worker, vendor packet, and custom vinyl banner.
• Food booth rental, Merchandise vendor, and Miscellaneous vendors are all $200. Food Truck vendor fees are $250. The last day these fees apply are July 16, 2022. Fees will be paid on our website, we will email you the link for payment. We will not accept any alternate payment methods.
• After July 16, 2022 the vendor fee will increase to $250, and food truck vendor fees will be $300 if accepted, no exceptions.
3. Insurance and Serve Safe License: We highly advise you to acquire vending insurance especially if you are selling food. However, it is not a must to participate. IF any occurrences happen of any kind upon signing and virtual acceptance of this document you will assume full responsibility if you have chosen to opt out of obtaining insurance. Even if you do acquire insurance and any occurrences of any kind happen, upon signing and virtual acceptance of this document you still will assume full responsibility of the occurrence. MC Circle Productions LLC and Ratchet City Music Fest will not be at fault and will be held harmless.
4. Unforeseen Events: MC Circle Productions LLC does not promise vending protection from loss or assure against loss. If the sites are affected by conditions that are out of the vendee’s control that deems the site unusable during Ratchet City Music Fest, the contract will be discarded. Upon payment of fees the vendee waives any claim for incidental or consequential damages or compensation resulting from the inability to use the site and agrees that MC Circle Productions may hold a percentage of fees that were made by the vendor. This will cover overheads as it relates to Ratchet City Music Fest. MC Circle Productions IS NOT responsible for any injury that may occur to any employees, theft, loss of life or damage to any property from any cause whatsoever, regardless security guards watch. It is important to ensure all equipment that will be used are at your own expense.
5. Set Up and Vending Site: You are responsible for your own set up. You may bring tent, tables, chairs, generators, promotional items, etc. We ask you to not bring any speakers for the attention is to be placed solely on the festival’s talent. Food trucks are accepted, and we ask you to let us know if you are bringing one or anything similar. DO NOT LEAVE YOUR VENDING AREA UNATTENDED AT ANY TIME. MC Circle Productions LLC and Ratchet City Music Fest are not responsible for any damaged or stolen goods due to negligence. Vendors are to set up within their 10×10 space or the chosen space at initial sign up. This will be your assigned paid for slot. We will place indicators to assure you of your designated area. Going outside of your original agreed space will result in an additional fee of $100/foot. Each site is responsible for providing a general-purpose fire extinguisher and it must be kept in the site throughout the duration of the festival. Sites should be operated until close. Each site will be accountable for providing its own change. Site must be completely set up by 9 AM on August 6, 2022.
6. Food and Drinks: Food items are to be approved by the Ratchet City Fest Food Vending Committee. MC CIRCLE PRODUCTIONS AND RATCHET CITY MUSIC FESTIVAL RESERVE THE RIGHT TO SALE ALL SOFT DRINKS. NO EXCEPTIONS. VENDORS ARE ALLOWED TO SELL NON-ALCOHOLIC DRINKS OF THE FOLLOWING: FRESH BREWED TEA, COFFEE, LEMONADE, FLAVORED WATE, AND HOT CHOCOLATE. THE SELLING OF ANY OTHER BEVERAGES WILL RESULT IN VENDING TERMINATION, A FINE OF $500, AND NO REFUND.
7. Waiver of Liability: It is specifically agreed by the parties to this contract that MC Circle Productions LLC and Ratchet City Music Fest, its agents, employees, or assignees are not liable for any loss, damages or theft of any property belonging to the vendor while on the site, grounds, and the Ratchet City Music Fest. MC Circle Productions LLC provides no insurance and will accept no responsibility for any loss whether the said loss is by accident or intentional act of destruction.
8. Indemnification and Hold Harmless:
Vendors agree to hold harmless, indemnify and defend MC Circle Productions LLC, Ratchet City Music Fest, its directors, officers, employees, agents, insurers, successors, assignees, and any person or entity to which MC Circle Productions LLC owe a similar duty of indemnification from and against all actions, liabilities, claims, assessments, losses, expenses, taxes, fees, and charges. Including and not limited to a civil judgment, costs or expenses associated in any way with the investigation, processing, or settlement of
a claim whether valid or not, any amount charged by a governmental body, attorney’s fees, arising out of, omission, negligence, fault or violation of law, regulation, or rule by vendor or any of its employees, agents, others employed directly or indirectly by vendor, volunteers, or other persons in or about vendor’s booth or bulk area.
9. No Assignment: The contract is constructed to be between the relation between the two parties (MC Circle Productions LLC and vendee). Vendee does not have the right to assign, share or sublet this contract or any interest in this contract, and this agreement shall not be assignable by operation of law without MC Circle Productions’ consent.
10. Vendor Passes and Day of Set Up: The 5th Annual Ratchet City Music Fest will be held August 6th, 2022, at the Louisiana State Fairgrounds. Vendors will be allowed to set up a tent, tables, and other movable pieces as soon as August 5th, 2022. We will notify you via email of the exact time and other specifics. On the day of, vendor set up will start at 7 AM. Vendors must be set up by 9 AM. The festival starts at 11 AM; food vendors please be mindful of this as to not prepare food too early. When you arrive, you will check in at the gate and receive your vendor packet. We will collect signatures, pass out banners, and show you to your assigned space. You only will receive one additional pass for help in your booth. We will collect their information via email. This person cannot be switched at any time. Passing of badges and or wrist bands will result in a non-refundable termination of your vending space. Additional passes are available for purchase. Each occupant must be able to present passes if asked. You must be able to present proof of vendor passes or proof of paid entrance at all times.
